Terms of Service

Effective August 18, 2026

These Terms of Service (the “Terms”) govern your access to and use of Quillstream, a docs-as-code collaboration service operated by Shiftclawco (“we”, “us”). By creating an account, connecting a repository or paying for a subscription you agree to these Terms. If you are agreeing on behalf of an organization, you confirm you are authorised to bind it.

1. The service

Quillstream lets teams author Markdown documentation that lives in their own GitHub repositories, and lets software agents propose drafts over a REST API which a human reviewer approves or rejects, with per-block provenance. We may add, change or remove features as the product evolves; we will not remove a materially advertised capability of a paid plan during a billing period without notice to the account owner.

2. Accounts and organizations

You need an account to use the service. You are responsible for the accuracy of your account details, for the confidentiality of your credentials and API tokens, and for everything done through them. Work happens inside an organization: the members you invite can see and act on that organization’s documents according to their role. Removing a member ends their access; it does not delete the content they created.

3. Plans, billing and renewal

The service is offered on a free plan and on paid subscription plans described on the pricing page. Paid subscriptions are billed in advance through Stripe and renew automatically for the same period until cancelled. Prices are stated exclusive of any applicable taxes, which are added where required. You can cancel at any time from the billing portal; cancellation takes effect at the end of the paid period and your organization then returns to the free plan and its limits.

Fees already paid are non-refundable except where refundable by law, or where we fail to provide the paid service and cannot remedy it within a reasonable period. If a payment fails we may suspend paid features until it is settled. We do not receive or store your card details; Stripe processes them directly.

4. Plan limits and fair use

Each plan carries the limits published on the pricing page — connected repositories, active documents, seats, AI actions and agent API tokens. These limits are enforced by the service, and requests over a limit are refused rather than billed. Automated access must go through the documented API and must not attempt to work around a limit, a refusal or the authentication layer.

5. Acceptable use

You agree not to use the service to:

  • break the law, or infringe anyone’s intellectual property or privacy rights;
  • upload or generate malware, or content that is unlawful, defamatory, or that harasses people;
  • probe, scan or disrupt the service or its infrastructure, or attempt to access another organization’s data;
  • resell, sublicense or provide the service to a third party as a hosted product of your own;
  • circumvent metering, quotas or the billing system.

6. Your content

Your documents, repositories and everything you or your agents write through the service remain yours. You grant us only the licence needed to operate the service for you: to store, transmit, display and process that content, including sending it to the sub-processors listed in our Privacy Policy so a feature you asked for can run. We do not use your content to train models, and we do not sell it. You are responsible for having the rights to the content you connect or upload.

7. AI-generated drafts

Drafts proposed by agents or generated by AI features are suggestions, not reviewed output. They may be inaccurate, incomplete or unsuitable, and they are never applied to a document without a human approving them. You remain responsible for what you approve and publish. AI features are provided without any warranty as to the accuracy or fitness of their output.

8. Third-party services

The service depends on third parties, including GitHub for repository access, WorkOS for authentication, Stripe for payments, Groq for AI inference, and Convex and Vercel for infrastructure. Their own terms apply to your use of them, and an interruption at one of them can interrupt the corresponding feature here. 9. Availability and support

We work to keep the service available, but we do not promise uninterrupted operation on any plan, and we may take it down for maintenance. Support is provided by email at shiftclawco@gmail.com on a reasonable-efforts basis.

10. Suspension and termination

You may stop using the service and delete your organization at any time. We may suspend or terminate an account that breaches these Terms, that puts the service or other customers at risk, or that is required to be suspended by law — where practical with prior notice and a chance to fix the problem. On termination your access ends and your data is deleted on the schedule in the Privacy Policy; export what you need first. Your documents also remain in the GitHub repositories you connected.

11. Disclaimers

Except for warranties that cannot be excluded by law, the service is provided “as is” and “as available”, without warranties of any kind, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the service will be error-free or that it will meet your requirements.

12. Limitation of liability

To the maximum extent permitted by law, we are not liable for indirect, incidental, special or consequential damages, nor for lost profits, lost revenue or lost data. Our total liability arising out of or relating to the service is limited to the amounts you paid us for it in the twelve months before the event giving rise to the claim. Nothing in these Terms limits liability for fraud, for death or personal injury caused by negligence, or for any other liability that cannot be limited by law — including the mandatory rights of consumers.

13. Indemnity

You agree to indemnify us against third-party claims arising from your content or from your use of the service in breach of these Terms, other than to the extent the claim is caused by us.

14. Changes to these Terms

We may update these Terms as the service or the law changes. The effective date at the top of this page always reflects the current version, and we will notify account owners of material changes by email or in the product before they take effect. Continuing to use the service after that date means you accept the updated Terms.

15. Governing law and jurisdiction

These Terms are governed by the laws of Italy, without regard to conflict-of-law rules. Any dispute arising out of or relating to them is subject to the competent courts of Italy, except where mandatory consumer law entitles you to bring proceedings elsewhere.
